1. Provider, scope and customers
These General Terms and Conditions apply to contracts for the design, analysis, advisory and technical services offered under SAND & MEHR between the provider Luka Sandvoss, Wilhelm-Wilkens-Ring 4, 27211 Bassum, Deutschland and the respective client, provided they have been validly incorporated into the contract.
The offer is intended for private individuals and businesses in Germany. A consumer is a natural person acting predominantly for purposes outside their commercial or independent professional activity. A business acts in the course of its commercial or independent professional activity when entering into the contract. The selection made in the enquiry form does not replace this statutory classification.
Individually agreed terms take precedence. Mandatory statutory rights remain unaffected.
2. Enquiry and formation of contract
The service descriptions on the website provide information and invite enquiries. Compiling a selection and clicking ‘Send a non-binding enquiry’ does not trigger a payment, order or subscription. An acknowledgement of receipt does not accept an order either.
After reviewing your enquiry, we will provide an individual quotation in text form, for example by email, if the scope is suitable. It specifies the service, total price, cooperation required, delivery or performance dates and, where applicable, duration. A contract is formed only when you accept that quotation within its stated acceptance period. Departures from the quotation require mutual agreement.
You receive the applicable contractual terms with the quotation. Consumers receive the required consumer information and withdrawal information before making their contractual declaration, and confirmation of the contract on a durable medium, usually by email. The contract language is German. Neither a customer account nor an initial telephone call is required.
3. Subject and scope of services
The agreed quotation is authoritative. It specifies which pages, systems, data, processes or questions will be examined, which results will be delivered and which activities are excluded. Website descriptions help you choose; they do not automatically establish an individual project scope.
For advice, research and analysis, the service consists of the agreed professional activity. Where a specific work result is agreed, such as a defined implementation, the relevant statutory rules apply, including any rights relating to acceptance and defects.
Analyses and scenarios do not promise specific revenue, profit, rankings or savings. This does not affect the obligation to perform the agreed work or statutory claims arising from a breach of duty. Legal advice and binding legal compliance or security approval are not included in the services offered.
4. Cooperation, documents and dates
You provide the agreed information and access where necessary for the service and where you are entitled to do so. Passwords, private keys and other credentials must not be entered into the public enquiry form. A suitable transfer method will be agreed separately if needed.
A date is binding if expressly agreed. If required documents are missing or agreed cooperation is delayed, we will explain the effects on the process and agree new dates. Additional work is not charged without prior agreement.
The written follow-up round stated in the relevant service description is included in the agreed scope. Further revisions, additional investigations or subsequent implementation require a separate agreement.
5. Prices, additional costs and payment
The prices shown are final prices in euros. No VAT is charged under section 19 of the German VAT Act (UStG). One-off services and quarterly prices are shown separately. There are no shipping charges for digital delivery of the agreed results.
Travel expenses, participant fees, recruitment, external licences and other third-party costs are included only if the quotation expressly states this. Otherwise, their nature and amount or calculation method must be separately agreed before commissioning. No paid extras are added automatically.
The quotation specifies when and how payment is due. Unless otherwise agreed, payment is due within 14 days after performance of the service and receipt of an invoice; for work requiring acceptance, after acceptance and receipt of the invoice. Statutory rights to withhold payment and raise objections remain unaffected. This website has no payment checkout.
6. Recurring services and termination
An enquiry about a quarterly review does not start a subscription. The review requires a suitable initial diagnosis. The number of reviews, start date, total price, duration, any renewal and cancellation options are set out in the quotation before the contract is formed. Without such an agreement, there is no automatic renewal.
Termination of an existing contract is governed by the agreed terms and mandatory statutory rules. Declarations may be sent by email unless a particular legal form is required. These terms do not restrict statutory termination rights. You can withdraw a non-binding enquiry at any time.
7. Consumers' right of withdrawal
Consumers generally have a statutory right to withdraw from a distance contract for services. Details, the withdrawal period, consequences and the model form are provided in the Withdrawal information. The electronic function ‘Withdraw from a contract’ is accessible through the button with that name in the footer of every page.
A non-binding enquiry does not start a withdrawal period for an order. It is neither consent to an early start of services nor a waiver of rights. If a paid service is to begin before the withdrawal period ends, the declarations required by law will be obtained separately in advance. Individual preparation alone does not remove the right of withdrawal.
These terms do not grant businesses an additional consumer right of withdrawal. Individually agreed and other statutory rights remain unaffected.
8. Work results and third-party rights
After full payment, you may use the work results created and delivered for you for the agreed project purpose. Where necessary for that purpose, this includes non-exclusive rights of use, adaptation and sharing with service providers commissioned for your project, without restrictions of time or territory. Different or exclusive rights require express agreement.
Open-source software, libraries, fonts, photographs and other third-party components are subject to their respective licence terms. Required third-party licences and usage restrictions will be disclosed before their paid use. Pre-existing general methods and tools remain with their rights holders; this must not prevent the agreed use of the delivered results.
Your name, logo, project or confidential results will be published as a reference only with separate permission. You retain the rights to content you provide.
9. Confidentiality, data protection and user testing
Both parties treat non-public information provided for the project as confidential. It is shared only for the agreed purpose and with people who need it and are bound by appropriate obligations. Statutory disclosure duties and information already lawfully public are excluded.
The processing of personal data on this website is described in the Privacy notice . If personal data is processed on your behalf within the project, roles, instructions, safeguards and any required data processing agreement must be clarified separately before access.
For interviews and user tests, participation terms, necessary information, recordings, consent and retention are determined before the sessions. An enquiry alone does not permit recording or sharing participant data.
10. Defects, liability and statutory rights
Statutory rules on defects and liability apply. Please describe complaints specifically enough for us to investigate and, where appropriate, resolve them. These terms do not impose an additional deadline for reporting defects.
11. Applicable law and dispute resolution
German law applies. For consumers, mandatory protections of the state of their habitual residence remain unaffected where applicable under statutory conflict-of-law rules. Statutory places of jurisdiction remain unaffected.
We are not willing to participate in proceedings before a consumer arbitration body. Statutory participation obligations remain unaffected. Contact for questions or complaints: info@sandundmehr.com.
If a provision does not become part of the contract or is invalid, statutory provisions apply.
